Terms of Service — RecoverStack

1. Who we are
RecoverStack is a service operated by RecoverStack LLC, a limited liability company organized under the laws of Wyoming, USA, with its registered office at:

In these Terms, "RecoverStack," "we," "us," and "our" mean RecoverStack LLC. "You," "your," and "Customer" mean the person or entity using our services.
2. What RecoverStack does
RecoverStack helps online businesses recover failed Stripe payments. We do this by:
- Listening to Stripe webhook events on connected Stripe accounts
- Categorizing failed-payment decline codes and applying retry strategies
- Sending automated email outreach to customers whose payments failed
- Reporting recovery metrics to you
We act on behalf of your connected Stripe account using Stripe Connect OAuth scopes you authorize. We do not store cardholder data. All card processing remains within Stripe.
3. Stripe Connect authorization
To use RecoverStack, you connect your Stripe account via Stripe Connect OAuth. By connecting:
- You grant RecoverStack the OAuth scopes you select. We request only what we need (typically
read_onlyfor audits, and additional scopes for active recovery only when activated). - You authorize RecoverStack to act on the connected Stripe account in the manner described in your service tier and in the connected-account configuration you set in your dashboard.
- You can revoke this authorization at any time through your Stripe dashboard or by contacting us. Revocation immediately stops RecoverStack's access; data we already collected is retained per Section 8.
You retain full control of your Stripe account at all times. RecoverStack never has more access than the OAuth scopes you grant.
4. Payment outcomes — no guarantee
RecoverStack improves payment-recovery rates relative to Stripe's defaults. We do NOT guarantee any specific recovery percentage, dollar amount, or outcome. Recovery effectiveness depends on factors outside our control, including:
- Decline-code distribution in your customer base
- Customer responsiveness to retry attempts and outreach
- Card-issuer behavior
- Your own product, pricing, and customer relationships
YOU AGREE THAT RECOVERSTACK IS NOT LIABLE FOR PAYMENTS THAT FAIL TO RECOVER, FOR DECISIONS RECOVERSTACK'S RECOVERY ENGINE MAKES (INCLUDING TIMING, FREQUENCY, OR CONTENT OF RETRIES AND CUSTOMER OUTREACH), OR FOR ANY LOST REVENUE, LOST CUSTOMERS, OR REPUTATIONAL HARM RESULTING FROM RECOVERSTACK'S OPERATIONS WITHIN THE OAUTH SCOPES YOU GRANTED.
5. Card data and PCI compliance
RecoverStack does NOT collect, transmit, store, or process raw cardholder data. We outsource all card handling to Stripe (a PCI DSS Level 1 service provider). We may store the following non-cardholder data returned by Stripe for display and reconciliation purposes only:
- Last 4 digits of card number
- Card brand and type
- Card expiration month and year
- Stripe-issued tokens and identifiers

6. Your account and conduct
You agree not to:
- Use RecoverStack to violate any law in any jurisdiction where you operate, where your customers reside, or where RecoverStack operates
- Use RecoverStack for fraudulent transactions
- Reverse engineer, decompile, scrape, or extract source code or non-public infrastructure details from RecoverStack
- Resell, white-label, or sublicense RecoverStack to third parties without a separate written reseller agreement
- Use RecoverStack to send marketing email outreach unrelated to legitimate dunning / payment-recovery purposes
- Attempt to circumvent the OAuth scope boundary (e.g., trying to make RecoverStack act outside the scopes you granted)
We reserve the right to suspend or terminate access for material breach of this Section 6, with or without notice depending on severity.
7. Privacy and data
Our handling of personal data is described in our Privacy Policy. For European Union and Israeli customers, additional protections apply under GDPR and Israel's Privacy Protection Law (Amendment 13). A Data Processing Agreement is available on request at [email protected].
You confirm that you have a lawful basis to share your customers' personal data with RecoverStack for the purposes of payment recovery and customer outreach.
8. Data retention and account closure
While your account is active, we retain payment-recovery data and outreach records for the duration of the active relationship plus a rolling 90-day window for reporting and dispute resolution.
If your subscription enters a non-paying state:
- Days 1-14 (grace period): full access continues
- Day 15+: account marked as degraded; recovery engine pauses; dashboard becomes read-only
- Day 90: data retention warning email
- Day 120: we hard-delete failed-payment, recovery-attempt, and outreach records for the account. We retain the account-level row and webhook history. The Stripe Connect link is preserved so reactivation is friction-free.
You can request immediate deletion of your data at any time by emailing [email protected]. We will complete deletion within 30 days of request, retaining only what is required to satisfy legal obligations.
9. Subscription and billing
Pricing is published at recoverstack.dev/pricing. By subscribing, you authorize RecoverStack to charge the payment method you provided on the schedule and amount stated for your selected tier.
- Subscriptions auto-renew until canceled
- You can cancel anytime via your dashboard or by emailing us; cancellation takes effect at the end of the current billing period
- We do not offer pro-rated refunds for partial periods unless required by law
- We may change pricing with at least 30 days written notice; the new pricing applies at your next renewal
The founding cohort and any promotional pricing are governed by the terms communicated in your founding-cohort invitation; those terms control over the standard pricing page during the founding-cohort term.
10. Service availability
We aim for high availability but do NOT promise uninterrupted service. Stripe webhook delivery, third-party email providers (Resend), payment networks, and infrastructure providers can fail in ways outside our control. We will use reasonable efforts to maintain service and to communicate planned maintenance.
We are not liable for any loss arising from service interruption.
11. Intellectual property
RecoverStack retains all rights to the RecoverStack platform, including the source code, the recovery engine, decline-code routing logic, retry-timing strategies, brand assets, and any documentation.
You retain all rights to your data, your customers' data, and any content you provide to RecoverStack (logos, branding, email-template customizations). By providing your content, you grant RecoverStack a limited license to use it solely for the purpose of providing the service to you.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RECOVERSTACK'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS, FOR ANY CAUSE OF ACTION, IS LIMITED TO THE AMOUNTS YOU PAID TO RECOVERSTACK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
RECOVERSTACK IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST REVENUE, LOST PROFITS, LOST CUSTOMERS, OR LOSS OF GOODWILL.
13. Indemnification
You agree to indemnify and hold RecoverStack, its members, and affiliates harmless from any claim, loss, or expense arising from:
- Your breach of these Terms
- Your violation of any law, including data-protection, consumer-protection, or anti-spam law
- Your customers' claims against RecoverStack arising from your use of the service
- Any allegation that your data, content, or customer data infringes third-party rights
14. Changes to these terms
We may update these Terms with at least 30 days notice for material changes. Continued use after the effective date of an update means you accept the new Terms.
15. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles.
Disputes are first addressed by good-faith negotiation between the Parties for at least 30 days. If unresolved, the Parties agree to binding arbitration in Wyoming under AAA rules, or in a mutually-agreed neutral venue.
